FinCEN: CTA's BOI Reporting

Corporate Transparency Act's (CTA) Beneficial Ownership Information (BOI) report | U.S. Department of the Treasury's Financial Crimes Enforcement Network

If you own a domestic or foreign Corporation, Limited Liability Company (LLC) or any entity created by the filing of a document with a secretary of state or any similar office: Starting January 1, 2024 your company may be required to file the Corporate Transparency Act's (CTA) Beneficial Ownership Information (BOI) report to the U.S. Department of the Treasury's Financial Crimes Enforcement Network. Doing so "will strengthen the integrity of the U.S. financial system by making it harder for illicit actors to use shell companies to launder their money or hide assets." While there are some EXEMPTIONS, most entities will be required to file. In addition, on December 21, 2023 a final rule was issued, by FinCEN, that prescribes the circumstances that the BOI Reporting Rule "may be disclosed to Federal agencies; state, local, tribal, and foreign governments; and financial institutions, and how it must be protected." Lastly, for new entities created or registered on or after January 1, 2024 the DEADLINEfor filing has been extended. There are PENALTIES for non-compliance.
